Terms of Service

These Terms of Service ("Terms") govern your access to and use of VSpark, a collab matchmaking platform for indie VTubers operating at https://vspark.gg (the "Service"). By creating an account or otherwise using the Service, you agree to these Terms.

By signing up or signing in to VSpark, you confirm that you are at least 18 years old, that you have read these Terms and our Privacy Policy, and that you accept both. If you do not agree, do not use the Service.

1. About VSpark

VSpark is an indie project that helps VTubers find compatible co-stream partners through a swipe-based matching interface and a built-in planning chat. The Service is operated by the team behind VSpark, contactable at hello@vspark.gg. References to "VSpark", "we", "us", or "our" mean the operators of the Service.

2. Eligibility

To use VSpark, you must:

The 1,000-follower requirement is verified at first sign-in by reading your public follower or subscriber count from Twitch or YouTube. If your count later drops below 1,000 you may continue to use the Service.

3. Accounts and sign-in

VSpark sign-in is delegated to Twitch or Google (for YouTube) via OAuth. We do not hold your Twitch or Google password. You are responsible for keeping your upstream Twitch or Google account secure; loss of access to either may mean loss of access to your VSpark account.

You may hold one VSpark account at a time. Operating multiple accounts to circumvent suspensions, manipulate matches, inflate streaks, or game the referral system is prohibited and will result in all related accounts being suspended.

You are responsible for all activity that occurs under your account.

"Your Content" means everything you upload, write, or otherwise contribute to the Service: your display name override, pronouns, bio, genres, vibe tags, stream windows, collab preferences, hero card image, chat messages, reactions, endorsements you write, reports you file, and any other text or media you submit.

You own your content

You retain ownership of all rights you hold in Your Content. We do not claim ownership of any of it.

Licence you grant to VSpark

To operate the Service, you grant VSpark a worldwide, non-exclusive, royalty-free licence to host, store, reproduce, display, adapt (for format/size only), and transmit Your Content, solely for the purpose of providing, securing, and improving the Service. The licence ends when you delete Your Content or your account, except that:

This licence does not give us the right to sell Your Content, sublicense it for advertising, or use it to train AI models.

Your warranties about your content

By submitting content you confirm that:

Content moderation

We may, but are not obliged to, review, refuse, or remove any content that we reasonably believe violates these Terms or applicable law. We may remove content with or without notice. Removal of one piece of content does not waive our right to act on other content.

6. Matches, chats, endorsements

VSpark surfaces other VTubers to you based on a discovery algorithm. We make no guarantee that any specific number, quality, or compatibility of matches will result. Matching is best-effort and depends on who else is using the Service in your timezone and genre.

When you and another user both indicate interest (a "match"), a private planning chat opens between you. VSpark is not a party to any conversation, agreement, collaboration, livestream, or off-platform arrangement that follows from a match. Any stream, business arrangement, or personal interaction you enter into with another user is between you and that user. We are not responsible for the conduct of other users, the outcome of any collab, or any disputes arising from one.

Endorsements on VSpark are positive-only by design. You may not use the endorsement system to imply criticism, sarcasm, or harassment. Endorsements are visible on the recipient's public profile to other approved VSpark users. Authors are not displayed publicly on endorsements at present.

7. Reporting and moderation

You can report a message, GIF, or user via the in-chat report flow. We aim to triage reports within 5 business days. We may take action including, without limitation:

We will not disclose your identity as the reporter to the reported user except where legally compelled to do so.

Repeat false or abusive reports are themselves a violation of these Terms.

8. Suspension and termination

By you

You may stop using VSpark at any time and delete your account by emailing hello@vspark.gg from the address tied to your Twitch or Google login, or by following the deletion procedure in our Privacy Policy §8. Deletion is irreversible.

By us

We may suspend or terminate your account, with or without notice and at our sole discretion, if we reasonably believe that:

Where the breach is not severe and not repeated, we will normally try to give you notice and a chance to respond before terminating.

Effect of termination

On termination your access to the Service ends. We will erase your data as described in our Privacy Policy §6. Any clauses of these Terms that by their nature should survive termination (including sections 5 licence carve-outs, 11 disclaimers, 12 liability, 13 indemnity, 16 governing law, 17 general) will survive.

9. Beta status

VSpark is in closed beta. Features may change, break, or be removed without notice. We do not offer any service level commitments, uptime guarantees, or response time guarantees. The Service is free during the beta period; we may introduce paid tiers in the future, in which case we will give existing users reasonable notice before any account-level change.

We may shut down the Service or any feature of it at any time. We will give reasonable notice and a window to export your data if we do.

10. Third-party services

VSpark integrates with services operated by third parties, including Twitch, Google (for YouTube OAuth and the YouTube Data API), Klipy (GIF picker), Cloudflare (hosting, DNS, analytics), Supabase (database, auth, file storage), and Resend (transactional email). Use of those services through VSpark is subject to their own terms and privacy policies. We are not responsible for the availability, accuracy, or content of any third-party service.

Links posted in VSpark chats may lead to external sites. We do not endorse, control, or take responsibility for any external site. Click external links at your own risk.

11. Disclaimers

Australian Consumer Law

Nothing in these Terms excludes, restricts, or modifies any consumer guarantee, right, or remedy conferred by the Australian Consumer Law (Schedule 2 of the Competition and Consumer Act 2010 (Cth)) or any other applicable law that cannot lawfully be excluded. The disclaimers and liability limits in sections 11 and 12 apply only to the maximum extent permitted by law.

Subject to the box above, the Service is provided "as is" and "as available", without warranties of any kind, whether express, implied, statutory, or otherwise. To the maximum extent permitted by law we disclaim all warranties, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, reliability, and freedom from viruses or harmful components.

12. Limitation of liability

To the maximum extent permitted by law (and subject again to the Australian Consumer Law carve-out in section 11):

You agree that VSpark is not responsible for the conduct, content, or output of any other user, and that any dispute arising between you and another user is between the two of you.

Where the Australian Consumer Law applies and we have breached a non-excludable consumer guarantee, our liability for that breach is limited, to the extent permitted, to (at our option) re-supplying the Service or paying the cost of having the Service re-supplied.

13. Indemnity

You agree to indemnify and hold harmless VSpark, our operators, and our service providers from and against any claim, loss, liability, cost, or expense (including reasonable legal fees) arising out of or related to:

This indemnity does not apply to the extent the claim arises from our own breach of these Terms or our negligence, or to the extent the indemnity would not be enforceable under applicable law.

14. Privacy

Our Privacy Policy describes what data we collect, why, how we store it, and how to delete it. By using the Service you also agree to that policy.

15. Changes to these Terms

We may update these Terms from time to time. When we make material changes we will:

Minor changes (typo fixes, link corrections, clarifications that do not change your rights or obligations) take effect when posted. If you do not agree with a change you must stop using the Service before the new Terms take effect.

16. Governing law and venue

These Terms, and any dispute arising out of or in connection with them or the Service, are governed by the laws of Queensland, Australia, without regard to its conflict of laws principles. You and VSpark each submit to the exclusive jurisdiction of the courts of Queensland, Australia and the federal courts of Australia sitting in Queensland, for any dispute that cannot be resolved informally.

Before filing any legal claim, you agree to first contact us at hello@vspark.gg with a description of the dispute and give us 30 days to attempt to resolve it informally. This does not apply to claims for urgent injunctive relief.

If you are a "consumer" under the Australian Consumer Law, nothing in this section overrides your rights to bring proceedings in any court of competent jurisdiction available to you under that law.

17. General

Entire agreement. These Terms, together with our Privacy Policy and Cookie Policy, are the entire agreement between you and VSpark regarding the Service and supersede any prior agreements.

Severability. If any part of these Terms is held unenforceable, the rest remains in effect, and the unenforceable part will be modified to the minimum extent needed to make it enforceable while preserving its intent.

No waiver. Our failure to enforce any provision is not a waiver of our right to do so later.

Assignment. You may not assign or transfer these Terms or any rights under them without our prior written consent. We may assign these Terms to any successor of the Service (for example, if VSpark is acquired or restructured), and we will give you notice of any such assignment.

No agency. Nothing in these Terms creates any agency, partnership, joint venture, or employment relationship between you and VSpark.

Headings. Section headings are for convenience only and do not affect interpretation.
